- Service: Palmyra's AI-based HS classification and Customs process optimization tools.
- Content: Any results, data, or information generated or provided through the Service.
3. Scope of Services
Palmyra provides tools and knowledge needed to facilitate customs HS classification and related trade compliance processes. The Service is a tool designed to support customers but does not constitute professional or legal advice.
Customers are solely responsible for ensuring the correctness, accuracy, and compliance of any information or classifications used in their operations.
4. Customer Responsibilities
By using the Services, you agree to:
- Use the Service lawfully, in compliance with applicable trade and customs regulations.
- Verify and validate any results or classifications generated by the Service before reliance or submission to authorities.
- Be solely responsible for any actions taken based on the results provided by Palmyra.
5. Disclaimers
5.1 Accuracy of Results
While Palmyra strives to provide accurate and reliable results, we do not guarantee that the classifications, recommendations, or outputs generated by the Service will always be correct, complete, or up-to-date. Customers acknowledge that:
- The Service relies on data inputs, third-party information, and automated processing.
- Palmyra assumes no responsibility for errors, inaccuracies, or discrepancies in the results provided.
5.2 No Legal Advice
The Service does not provide legal advice or replace professional trade compliance services. Customers remain responsible for seeking appropriate professional counsel when necessary.
6. Limitation of Liability
To the maximum extent permitted under applicable law:
- Palmyra shall not be liable for any direct, indirect, incidental, consequential, or special damages (including but not limited to loss of profits, loss of data, fines, penalties, or trade disruptions) arising out of or in connection with the use of the Services.
- In cases of incorrect or inaccurate classifications, Customers agree that they bear full responsibility for verifying and validating the outputs before acting on them.
7. Indemnification
You agree to defend, indemnify, and hold Palmyra, its affiliates, and its employees harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of:
- Your use or misuse of the Service.
- Your breach of these T&Cs.
- Any reliance placed on incorrect classifications, recommendations, or outputs.
8. Fees and Payment
- Customers agree to pay all fees as outlined in the subscription or purchase agreement.
- Palmyra reserves the right to adjust fees with reasonable notice.
- Late payments may result in suspension or termination of access to the Services.
- Interest on Overdue Payments: If payments are not made within 30 days of the due date, interest will accrue at the rate of 8% per month or the highest rate permitted under applicable law, whichever is higher.
9. Data Processing and Privacy
By using our Services and accepting these T&Cs, you agree to Palmyra's collection, processing, and use of your data in accordance with our Privacy Policy. Customers also agree that:
- Palmyra may process all necessary data to deliver, improve, or analyze the Services or for any other commercial matters.
- Customers remain the Data Controllers for data input into the system.
- Palmyra shall act as a Data Processor for such inputs, ensuring GDPR compliance.
10. Intellectual Property
All intellectual property rights related to the Services, including software, content, logos, and trademarks, remain the exclusive property of Palmyra. Customers are granted a limited, non-exclusive, non-transferable right to access and use the Service for lawful purposes only.
Customers agree not to:
- Reverse-engineer, copy, or replicate the Service.
- Sell, sublicense, or resell access to the Services.
11. Termination
Palmyra may terminate or suspend access to the Services immediately, without prior notice, if a Customer breaches these T&Cs. Upon termination:
- Access to the Service will cease.
- Fees already paid will not be refunded.
The Customer must notify Palmyra via mail and/or email 3 months before the desired termination date.
12. Governing Law and Jurisdiction
These T&Cs shall be governed by and construed in accordance with European Union law and the laws of Belgium, where Palmyra operates. Any disputes arising under these T&Cs will be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
13. Force Majeure
Palmyra shall not be held liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, governmental actions, or technical failures.
14. Changes to These Terms
Palmyra reserves the right to update or modify these T&Cs at any time. Updates will be posted on our website, and continued use of the Service after such changes constitutes acceptance of the revised T&Cs.
